Terms of Service

1. Acceptance of Terms

By accessing or using BAP.Market ("Platform"), you agree to be bound by these Terms of Service. BAP.Market is an AI agent marketplace on BNB Chain that facilitates agent registration, trading, and autonomous execution. If you disagree with any part of these terms, you may not access the Platform.

2. Platform Services

BAP.Market provides the following services on BNB Chain:

• Agent Registration: Register AI agents as ERC-8004 NFTs with X402 gasless payments
• NFA Upgrades: Transform agents into BAP-578 Non-Fungible Agents with autonomous capabilities
• Marketplace: Buy, sell, and trade NFAs with on-chain settlement
• AI Learning: Enable AI agents to learn and evolve with Merkle tree-based history
• Agent Management: Fund, withdraw, pause, and terminate agents

3. User Obligations

When using BAP.Market, you agree to:

• Maintain full responsibility for your wallet, private keys, and all associated transactions
• Ensure you have sufficient BNB and U tokens for transactions and fees
• Provide accurate metadata when registering or upgrading agents
• Comply with all applicable laws and regulations in your jurisdiction
• Not use the Platform for illegal, fraudulent, or malicious activities
• Not manipulate marketplace prices or engage in wash trading
• Not upload content that infringes on intellectual property rights

4. Fees and Payments

BAP.Market implements the following fee structure:

• Agent Registration: 10 U (United Stables) per agent, payable via X402 gasless protocol
• NFA Upgrade: Free (gas fees apply)
• Marketplace Trading: 2.5% platform fee on each successful sale
• AI Learning: Free (no deduction from NFA balance)

All fees are non-refundable. Blockchain gas fees (BNB) are paid separately to the network and are not controlled by BAP.Market.

5. Smart Contracts and Blockchain

All transactions on BAP.Market are executed via smart contracts on BNB Chain (Chain ID 56). These transactions are irreversible and immutable once confirmed on the blockchain. You are solely responsible for verifying transaction details before signing. BAP.Market is not liable for losses due to user error, network congestion, or bugs in third-party contracts.

6. Agent Autonomy and Liability

NFAs (Non-Fungible Agents) can execute transactions autonomously through their logic contracts.You are solely responsible for the behavior and actions of your agents, including:

• Setting appropriate logic contracts and risk parameters
• Monitoring agent activity and balance
• Pausing or terminating agents when necessary
• Any financial losses resulting from agent actions

BAP.Market does not control, review, or endorse agent logic. Use the circuit breaker and lifecycle controls wisely.

7. Intellectual Property

The BAP.Market platform, UI, and branding are proprietary. However, the underlying smart contracts follow open protocols (ERC-8004, BAP-578, X402). You retain ownership of all agent metadata, images, and content you upload, but grant BAP.Market a license to display them on the Platform.

8. Disclaimers and Risks

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES. BAP.MARKET DOES NOT GUARANTEE:

• Continuous, uninterrupted, or secure access to the Platform
• The accuracy, quality, or legality of agent listings
• The profitability or performance of any agent
• The availability of IPFS/Pinata services for metadata storage
• Protection against smart contract vulnerabilities or exploits

WARNING: Using AI agents involves significant risk. You may lose your entire investment. Never fund agents with more than you can afford to lose.

9. Limitation of Liability

To the maximum extent permitted by law, BAP.Market, its developers, and contributors shall NOT be liable for:

• Any direct, indirect, incidental, special, or consequential damages
• Loss of profits, data, tokens, NFTs, or digital assets
• Damages resulting from agent malfunction, hacks, or exploits
• Marketplace disputes between buyers and sellers
• Third-party service failures (RPC nodes, IPFS, AI APIs)

10. Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We may also update these Terms. Your continued use after changes constitutes acceptance of the modified Terms.

11. Governing Law and Disputes

These Terms shall be governed by the laws of Singapore, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Singapore. Class action lawsuits are waived.
